The ideal candidate will have U.S. capital markets experience representing underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings. Experience representing public companies in the '34 Act work is a plus.Duties:Provide legal counsel and support on various capital markets transactions, including IPOs, follow-on public offerings, and private placements.Draft, review, and negotiate transaction documents, including offering memoranda, underwriting, and purchase agreements.Conduct legal research and due diligence related to securities laws, regulations, and compliance matters.Collaborate with internal and external stakeholders, including clients, underwriters, and regulatory agencies, to facilitate successful transaction execution.Assist in preparing and filing regulatory documents and disclosures with the SEC and other relevant authorities.Stay abreast of developments in securities laws, regulations, and market trends to advise clients effectively.Requirements:Juris Doctor (JD) degree from an accredited law school.Admission to the State Bar of Texas or eligibility for admission via waiver.4-6 years of relevant experience in capital markets transactions at a reputable law firm or in-house legal department.Demonstrated experience in representing underwriters, issuers, and placement agents in securities offerings.Familiarity with the '34 Act work and other relevant securities laws and regulations.Strong analytical, communication, and negotiation skills.Ability to manage multiple priorities and work efficiently in a fast-paced environment.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the State Bar of Texas or eligibility for admission via waiver.Skills:U.S. capital markets experience.Transactional drafting and negotiation.Legal research and due diligence.Regulatory compliance.Client collaboration and communication.Time management and prioritization.
