The ideal candidate should possess the ability to lead MA transactions from start to finish, including drafting and negotiating complex transaction documents. Preference will be given to candidates with experience in private equity-led MA transactions. Duties:Lead MA transactions from initiation to completion.Draft and negotiate complex transaction documents, including merger agreements, stock purchase agreements, and ancillary agreements.Conduct due diligence reviews for MA transactions.Advise clients on legal and regulatory issues related to MA transactions.Coordinate with clients, opposing counsel, and other parties involved in transactions.Provide legal advice and guidance on corporate governance matters.Assist with post-closing integration and compliance matters.Collaborate with partners and senior attorneys on MA matters.Stay updated on relevant laws, regulations, and industry trends. Requirements:Juris Doctor (JD) degree from an accredited law school.5-6 years of experience in mergers and acquisitions.Experience with private equity-led MA transactions preferred.Strong drafting and negotiation skills.Excellent communication and interpersonal skills.Ability to manage multiple tasks and meet deadlines.Detail-oriented with strong analytical skills.Admitted to the Bar in Pennsylvania, or eligible for admission. Education:Juris Doctor (JD) degree from an accredited law school. Certifications:Admitted to the Bar in Pennsylvania, or eligible for admission. Skills:Ability to lead MA transactions independently.Proficiency in drafting and negotiating complex transaction documents.Knowledge of corporate governance principles.Strong communication and interpersonal skills.Analytical and problem-solving abilities.Proactive and self-motivated approach to work.
