The ideal candidate will have general MA and transactional experience, with a focus on MA transactions involving public companies and related securities laws. Outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills are required. Job Overview:Handling MA transactions involving public companiesAdvising clients on securities laws and regulationsCollaborating with team members on transactional matters Duties:Conducting due diligence and drafting transactional documents for MA dealsAdvising clients on legal and regulatory issues related to public company transactionsNegotiating and structuring MA transactions on behalf of clientsDrafting and reviewing securities filings and disclosure documentsManaging client relationships and communicating effectively with stakeholdersAssisting with corporate governance matters as needed Requirements:Juris Doctor (J.D.) degree from an accredited law schoolAdmission to the Bar in Washington, DC, or eligibility to obtain admission promptly3-6 years of experience in MA and transactional law, preferably with a focus on public company transactionsStrong understanding of securities laws and regulationsExcellent written and verbal communication skillsOutstanding academic credentials and law firm experience Certifications:Admission to the Bar in Washington, DC, or eligibility to obtain admission promptly Skills:Proficiency in drafting and negotiating transactional documentsKnowledge of securities laws and regulations relevant to public company transactionsAbility to work effectively in a fast-paced environmentStrong analytical and problem-solving skillsAttention to detail and ability to manage multiple tasks and priorities One of the nation's leading law firms, it has a team of 650 attorneys that serves clients in the area of corporate, financial services, intellectual property, litigation, private equity, products liability, mass torts, real estate, REITs, and real estate capital markets.
